Terms

These terms are an agreement between you and Ieuan Turner, trading as Paraph (“we”, “us”, “our”). Contact us at info@tryparaph.com.

By creating an account or using the Service you agree to these terms, the fair use policy and the privacy page.

The Service sends a PDF for signature and gives everyone a signed copy with an audit trail and a completion certificate.

It provides simple electronic signatures. It does not provide advanced or qualified electronic signatures under the UK or EU eIDAS rules, and we do not say it does.

It does not check anybody’s identity. It checks that a Signer controlled the email address the Document was sent to, and records what they did and from where.

It does not place a cryptographic seal on a Document. The completion certificate prints a SHA-256 fingerprint of the signed file, which anyone can check against their copy.

Whether an electronic signature is valid for a particular Document depends on that Document and the law that governs it, and some Documents, such as deeds and wills, need more than the Service provides. You sign in with a code sent to your email address. Keep access to that address secure: anybody who can read it can sign in as you.

An account belongs to an organisation, and its owners and admins can invite other people. You are responsible for what everyone on your account sends.

You must give us an email address that is yours and that you can read.

The Free plan costs nothing, needs no card and has no trial that ends. It puts a “Signed with Paraph” badge on the signing page, the emails and the completion certificate, never on the signed PDF itself.

Both plans are unlimited within the fair use policy, which sets the few hard limits.

The Pro plan is paid in advance, monthly or yearly, through Stripe, and renews automatically until you cancel. Prices include any VAT we have to charge.

You can cancel at any time. Cancelling stops the next payment, and Pro carries on until the end of the period you have paid for, then your organisation moves to the Free plan.

If you ask within 14 days of your organisation’s first payment for Pro, we will refund it in full; Pro ends when the refund is made, and your organisation moves to the Free plan in the same way. The 14 days run from the first payment your organisation ever makes, so cancelling and starting Pro again does not start them again. Ask at info@tryparaph.com.

Nothing is deleted when your organisation moves to the Free plan. Your Documents, folders and templates stay, and the badge comes back on Documents sent from then on.

If a renewal payment fails, Pro carries on for 14 days while you update your card. If it is still unpaid after that, your organisation moves to the Free plan, and nothing is deleted.

If we change the price of Pro, we will email you at least 30 days before your next payment at the new price, and you can cancel before it.

You must have the right to send each Document to the people you send it to.

You must not use the Service to impersonate anybody, to obtain money or details by pretending to be somebody else, to send spam, or to break the law.

You must keep within the fair use policy. It is part of these terms.

Your Documents are yours. You give us permission to store, copy and process them only as far as we need to provide the Service to you, and for no other purpose.

For the personal data in your Documents and about your Signers, you are the controller and we are your processor. We process it only on your instructions, keep it secure, and use only the sub-processors we list, as the privacy page explains.

We keep your Documents until you delete them. We do not delete them because you stopped paying or because your account was paused.

We may pause sending on an account that breaks the fair use policy or these terms. A paused account cannot send, resend or remind.

A pause never stops anybody signing. Every Document already sent stays signable, and every signed Document stays where it is, because the Signers did nothing wrong.

We will email you when we pause an account, and a person reads your reply. Nothing is deleted because an account was paused.

You can stop using the Service at any time, and ask us to close your account by emailing info@tryparaph.com.

When we close an account, its Documents are deleted, except the record the privacy page describes that a Document existed and was signed. Download anything you want to keep first. Signers keep the signed copies they were emailed.

We may close an account that is used to defraud people or that seriously breaks these terms, and we will tell you why.

We work to keep the Service running but do not promise it will always be available. Email can be delayed or filtered by the receiving side. If a deadline matters, do not rely only on an email-based service, ours included.

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow us to limit.

If you use the Service as a consumer, you have rights under the Consumer Rights Act 2015, including that the Service is provided with reasonable care and skill. These terms do not take them away.

Subject to clauses 11.1 and 11.2, our total liability to you for all claims in any 12-month period is limited to the fees you paid us in the 12 months before the claim, or £100, whichever is greater.

Subject to clauses 11.1 and 11.2, we are not liable to a business for loss of profit, revenue, business or goodwill, or for any indirect or consequential loss.

We may change these terms. If a change affects you, we will email you at least 30 days before it takes effect. If you do not agree, you can cancel before then.

These terms are governed by the law of England and Wales, and the courts of England and Wales deal with any dispute. If you are a consumer living in Scotland or Northern Ireland, you can also bring a claim in your own courts.
